OpenAI just made sure it wouldn't be left behind in the AI race.

On Monday, OpenAI confirmed it has confidentially filed a draft S-1 with the SEC. That's the first formal step toward going public.

The company posted the news with this brief announcement:

“We recently submitted a confidential S-1. We expect it to leak so we’re just announcing it. We have not decided on timing yet; it may be a while because there are things we want to do that are likely easier as a private company. But it’s a complicated set of tradeoffs and this gives us the option to go public sooner if that ends up being best.”

The three most valuable private companies are rushing to go public.

Anthropic filed confidentially a week ago. OpenAI filed Monday. SpaceX begins trading on June 12.

OpenAI was last valued at $852 billion after its March financing that raised $122 billion.

CEO Sam Altman was careful not to commit to a date. He said it "may be a while," since some plans are easier to pursue as a private company. The filing gives OpenAI the option to go public when the time is right.

The financials are where investors will focus.

OpenAI brought in more than $13 billion in revenue last year and has raised over $180 billion since 2015. It's still burning cash, with reports pointing to roughly $115 billion in projected spending over the next four years.

For scale, SpaceX is heading to market at a $1.77 trillion valuation on $18.7 billion in revenue.

None of the three — OpenAI, Anthropic, or SpaceX — is profitable yet. These are growth companies that are investing heavily in the AI revolution.

The SpaceX IPO is this week’s big event. A strong reception likely encourages Anthropic and OpenAI to go public sooner rather than later.
